Changes to Product Pricing: Revisions to reflect a change to the MDA Program eligible amount effective April 1, 2024, as follows:

  • Reduce MDA discount by $.90 from current maximum eligible discount of $6.60 to new maximum discount of $5.70.

    IMPORTANT UPDATES. Microsoft is announcing the following important updates to the Windows Price List and Product Terms Document effective April 1, 2023.

    1. Pricing Update and new End of License date for Windows 11 Pro with Downgrade Facilitation Products. Microsoft is announcing two updates with respect to Windows 11 Pro with Downgrade Facilitation Products:

    • Price change. Effective July 1, 2023, there will be a $50.00 increase on the following editions of Windows 11 Pro with Downgrade Facilitation Products; please see the Price List for details.
    • Windows 11 Pro Standard with Downgrade Facilitation
    • Windows 11 Pro High-end with Downgrade Facilitation
    • Windows 11 Pro for Workstations with Downgrade Facilitation (all editions)
    • End of License Date. The End of License (EOL) date for all Windows 11 Pro with Downgrade Facilitation Products, including NAO editions, is designated as March 31, 2024. The EOL date for all Windows test keys is also now designated as March 31, 2024.
    • End User Flyer. An updated version of the end user-ready flyer that incorporates these updates can be found here

    2. Revised Windows Release Adoption Timeline for Windows 11 Home and Windows 11 Pro. The Windows May 2023 Continuous Innovation (CI) Release is designated as the required release to initiate the 180-day release adoption requirement for both Windows 11 Home and Windows 11 Pro in CY23Q2. Please see AT 1005 for details.

    3. Revised Price List Hardware Specifications. The Price List has been updated to address partner feedback requesting greater clarity around the timing for implementation of the new policy regarding no boot from HDD goes into effect. The new policy regarding no boot from HDD is updated to go into effect on November 1, 2023, as indicated in the revised Price List. Please see the redline version for specific details. In addition, the Windows Product Placemat has been updated to ensure complete consistency between the Price List and the Windows Placemat; the revised Windows Product Placemat for April 1, 2023, can be found here

    4. Other Updates

    • AT 1202 has been updated with the addition of new paragraph 4, to indicate that the Windows 11 Home Entry Products are included in annual volume calculations to determine eligibility for GPA renewal.
    • AT 6006 has been deleted as obsolete due to recent changes in Windows incentive program terms.

    The April 1, 2023 effective Windows Price List and Product Terms Document was published last month on June 30, 2022, to provide ample notice to partners of the pricing and licensing changes that will go into effect on April 1, 2023. Since the original publication date last month, Microsoft has received feedback requesting clarity of intent with respect to certain Price List hardware specification requirements. Microsoft is announcing updates with this publication to address this feedback.

    Updates for April 1, 2023 Effective: Revised Price List Hardware Specifications. Certain portions of the Price List did not include qualifying language to identify when the new policy regarding no boot from HDD goes into effect. The Price List has been updated to include the previously missing language. See updates to Windows Home Advanced, Windows Home Advanced Single Language, Windows Pro High-end, and all Windows Pro for Workstation offerings for details. In addition, the Windows Product Placemat has been updated to ensure complete consistency between the Price List and the Windows Placemat; the revised Windows Product Placemat for April 1, 2023, can be found here.

    Changes to Product Pricing:

    • Windows 11 Home Entry Products: change in base Product Fee $25.00 to $10.00, and Device Configuration Discount remains at $10.00. Details of applying the Device Configuration Discount may be found in new AT 1202.
    • Windows 11 Home Standard Products: change in base Product Fee from $63.95 to $67.95
    • Windows 11 Pro Standard Products: change in base Product Fee from $119.00 to $122.00

    Changes to Product Hardware-based Pricing Specifications:

    • Windows 11 Home Advanced and Windows 11 Home Advanced Single Language Products: storage threshold increased from >1.256TB to >1.3TB
    • Windows 11 Pro Value Products: increase in RAM from ≤4GB to ≤8GB
    • Annotations to hardware configuration requirements to support new policy, commencing next year with Distribution of systems containing the Windows 2023 release (and subsequent releases), that systems must not use HDD as the primary operating system boot drive. See update to AT 1005, below for more details.

    Other changes to Price List:

    • Removed all Windows 10 products
    • Windows 10 Single Machine Production Test Keys and Windows 10 Multiple Activation Test Keys: inserted new End of License date to coincide with End of License date for Windows 11 with Downgrade Facilitation Products

    Changes to Product Terms:

    • AT 1001 (Windows Hardware Requirements) – New subsections 2.2 (a) and (b) (Hardware Requirements for Windows Products): new terms added regarding standards of compliance with Minimum Hardware Requirements and Microsoft commitment to 90 days’ notice prior to a Windows Release of changes to requirements for that Windows Release
    • AT 1005 (Windows as a Service: Support for New Customer Systems) – New subsection 2.2(d) (Windows Release Support – Windows 2023 Release): new terms added that apply to Distribution of Customer Systems that include the Windows 2023 Release, which require that those systems must not use HDD as the primary operating system boot drive
    • New AT 1202 (Windows Home Entry -- Device Configuration Discount): new terms added to define the process for implementing the Device Configuration Discount for Windows Home Entry Products
    • Deletion of AT 1904 (Sales Embargo) as requirements in current terms will have expired

    Updates for July 1, 2022 Effective. Microsoft is introducing revisions to the document in response to partner feedback regarding recent changes to (Downgrade Facilitation – Windows 11), Section 2.1 (Preinstallation on Customer System).

    AT 1903 (Downgrade Facilitation – Windows 11), Section 2.1 (Preinstallation on Customer System), Subsection 2.1(a) is revised to change requirements for the Windows 10 downgrade image that must be included on Customer Systems preinstalled with Windows 10 and distributed with the Windows 11 Pro with Downgrade Facilitation Product offerings. Effective July 1, 2022, Windows 10 downgrade images distributed with the Windows 11 Pro with Downgrade Facilitation Products is no longer designated as the most current Windows 10, version 21H2 Release, but must be a Windows 10 Release covered for product support under Microsoft Lifecyle policies.

    Windows Price List and Product Terms Effective July 1, 2022. The July 1, 2022 effective Windows Price List and Product Terms Document was published last year on July 1, 2021, to provide ample notice to partners of the pricing and licensing changes that will go into effect on July 1, 2022. Since the original publication date last year, certain updates have been made to the terms of the currently effective Windows Price List and Product Terms, and Microsoft is announcing two new updates with this publication.

    • Updates for July 1, 2022 Effective. Microsoft is introducing two changes to the document for purposes of clarifying the status of Windows releases that are designated by Microsoft as “end of support” under the Microsoft Lifecycle Policy. Microsoft is making these changes to ensure that the end user OOBE (out of box experience) on all partner devices continues to meet the quality of excellence for which both our partners’ brands and Microsoft desire. To mitigate the potential for negative end user experience of acquiring a system with an unsupported Windows release, Microsoft is making the following changes:

      • AT 1005 (Windows as a Service: Support for New Customer Systems), Section 2.1 (Windows Release Support). A new subsection 2.1(c) is added to this AT that clarifies the status of end of support releases as “end-of-license” under the Agreement.
      • AT 1903 (Downgrade Facilitation – Windows 11), Section 2.1 (Preinstallation on Customer System). Subsection 2.1(a) is revised to add language requiring the adoption of the most current Windows 10 Release in all Windows 10 downgrade images distributed with the Windows 11 Pro with Downgrade Facilitation Product offerings.

    • Consolidation of Terms. In addition, this publication serves to merge the interim changes that have been made between July 1, 2021 (original publication), and April 1, 2022 (this publication), that will continue to be effective after July 1, 2022.

    • AT 1005 (Windows as a Service: Support for New Customer Systems), Section 2.1 (Windows Release Support), is updated to reflect a revised release adoption schedule for adoption of the Windows 11 22H2 release.
    • AT 1505 (Windows 11 Pro Entry WW (National Academic only) and Windows 10 Pro (National Academic only) Standard (“Entry WW”) Products), Section 3 (Default Charge) reflects a change to the per unit Default Charge applicable to the Windows Pro Entry WW (National academic only) offerings. With this change, the applicable Default Charge for these Products is reduced from $150.00 to $50.00 per unit.
    • AT 8001 (Audio Visual (AV) and Telecommunication Technologies for Windows Products) has been revised to reflect the following:
      • Microsoft is no longer a licensee in the MPEG-4 Visal patent pool; and
      • With Windows 11 22H2, Microsoft is delivering the HVEC codec as part of the Product. The HEVC codec remains optional.
    • AT 1904 (Sales Embargo), is updated as applicable to the Windows 11 22H2 release. The revisions include an August 9, 2022, sales embargo date.

      • Windows 10 for Small Tablet and 2 in 1 is the only grouping of Products offered solely for Windows 10. All other offerings for Windows 10 and Windows 11 Products are grouped under common Price Lists and Product Tables.
      • Due to hardware specification differences, the Price List Tables for Windows Home Entry and Windows Pro Entry include distinctly different tables for Windows 10 and Windows 11 Products.
    • Footnotes. Footnote 5, Section 2 (Platform Support) has been revised to address partner feedback regarding clarity of Windows for ARM64 product availability.

    • Pricing Updates. The following pricing changes will go into effect on July 1, 2022:
      • For Windows Home Value and Windows Home Value Single Language Products: the hardware-based pricing specifications for both Products will be changed from ≤ 4 GB RAM, to ≤ 8 GB RAM.
      • For Windows Home Value Products, the base Product Fee will be reduced by US$10.00.

    New Windows Price List and Product Terms

    To correspond with the announcement by Microsoft on June 24, 2021, of the availability of a new version of Windows, a Price List and Product Terms document for the new Windows product offerings is being made available, and can be found here. A detailed discussion of important key differences between Windows 10 and new Windows product license terms and offerings is provided below.

    Product Information NOTE: The Price List and Product Terms document for the new Windows product offerings published on June 24, 2021, will show a placeholder name for all new Products.

    • Product Names. The new product names are consistently shown as “New Windows®”+ Edition (Home/Pro) (+ N) + sub edition (Entry/Value/etc.) + additional qualifiers (e.g., cores, Simplified Chinese Language, or NAO).
    • Minimum hardware specifications. New minimum hardware specifications are associated with the new version of Windows, which are different from the minimum hardware specifications for Windows 10. Due to those differences, there will be no New Windows Home for Small Tablet & 2-in-1 SKU. In addition, the display requirements for “Tablet & 2-in-1” specifications for “New Windows Home Entry” and “New Windows Pro Entry” have been revised to accommodate the new minimum hardware specifications for the new version of Windows. Windows 10 offerings are unchanged.
    • Windows for ARM 64. With the release of Windows 10 Pro for Value in February 2021, Microsoft initiated the practice of including ARM-based offerings through mapping of Windows for ARM OPKs to generally available product SKUs. This practice is in place for all new Windows Home, Pro and NAO products, as noted in the revised Footnote 5, section 2, “Platform Support.” As such, there are no standalone SKUs designated as “for Windows for ARM64.”
    • Downgrade Facilitation SKUs. A new set of SKUs for “New Windows Pro” and “New Windows Pro for National Academic only” are offered. These new SKUs, identifiable by “with Downgrade Facilitation” in the product name, are intended to enable OEMs the ability to preinstall Windows 10 software on a Customer System that is intended for distribution through their channel to commercial end users; as such, commercial end users will have an off the shelf option to acquire PCs that are licensed for both Windows 10 and the new version of Windows, and the flexibility to upgrade for free at a time that is convenient for the end user. The Product Index includes a second page of offerings dedicated to the new “with Downgrade Facilitation” SKUs.
    • Test Keys and MBR Keys. Production Test Keys and Multiple Activation Test Keys for the new version of Windows product offerings have new Product IDs and Licensable IDs. The Product ID and Licensable ID for MBR Keys is unchanged from Windows 10.

    Product Terms

    • ATs for the New Windows Products. The following new Additional Terms are associated with the new Windows product offerings:
      • AT 1902 (Upgrade Program – New Windows) This AT 1902 describes the Upgrade Program being offered by Microsoft for upgrading devices to new Windows.
      • AT 1903 (Downgrade Facilitation – New Windows) This AT 1903 describes the use and Distribution rights and requirements for licensing the “New Windows Pro with Downgrade Facilitation” and “New Windows Pro for NAO with Downgrade Facilitation” Products.
      • AT 1904 (Sales Embargo) OEMs may not sell devices with new Windows to end users until GA, or the General Availability date, which will be announced by Microsoft later this year. OEMs also may not sell new Windows devices to end users through retailers or distributors until GA. Details of the sales embargo requirements are found in this new AT 1904.
      • AT 1007 (32-bit and 64-bit Installations) AT 1007 does not apply to the new Windows products since the new offerings are 64-bit only.
      • AT 1109 (Distribution without S mode) AT 1109 is no longer a required term for Windows for ARM64 offerings, so it has been removed.
    • Replaced AT. AT 1010 (Product Disclaimers/Notices) has been replaced in its entirety by new AT 1016 (Windows Product Disclaimers/Notices). The new AT is updated to (1) clarify the sections of this AT that apply to both Windows 10 and the new Windows Products; and (2) indicate sections that are unique to each of Windows 10 and the new Windows Products.
    • Revised ATs. The following Additional Terms have been updated to accommodate the new Windows product offerings:
      • AT 6001 (Windows Product Fees) has been updated to enable broader applicability of this AT to include additional potential discounting scenarios other than the existing MDA, JS, and Device Configuration discount structure.
      • AT 8001 (Audio Visual (AV) and Telecommunications Technologies for Windows Products) has been revised to provide clarity as to the joint applicability of terms to both Windows 10 and the new Windows product offerings.

    Final Notes: On July 1, 2021, a consolidated Windows Price List and Product Terms document will be published. The July 1, 2021 Windows Price List and Product Terms will include all Windows 10 and new Windows product offerings. All pricing updates for Windows 10 announced earlier this year will apply to the new Windows products, and will also be reflected in this new consolidated Windows Price List and Product Terms document.

    Thread-based Pricing

    • The introduction of the new thread-based pricing model for new generation (Alder Lake) Intel core i7 hybrid processors is being delayed from the originally communicated June 1, 2021, effective, to July 1, 2021, effective.
    • Accompanying the new Windows Price List and Product Terms, are a new July 1, 2021, effective Windows Placemat and July 1, 2021, effective Processor List.
    • The Processor List has been revised to include two new processor lists (List F and List G), dedicated to the Core i7 Alder Lake processors covered by the new thread-based pricing model. PLEASE NOTE: the July 1, 2021, effective Processor List published at this time has a placeholder for specific part numbers for the affected Core i7 processors. The July 1, 2021, effective Processor List will be updated with final part numbers in June, when they are made available to Microsoft.

    Windows 10 (NAO) (Strategic) Products – Hardware Specification Change

    • Effective July 1, 2021, the hardware specifications and licensing requirements for the Windows 10 Pro (National Academic only) (Strategic) Standard Product (including the N version), and Windows 10 Home (National Academic only) (EM) (Strategic) will be revised.
    • Hardware specifications. For all Windows 10 (NAO) (Strategic) Products, the current specification for RAM of ≤4 GB will be changed to ≤8 GB.
    • Licensing
      • AT 1501 (National Academic Products – Windows 10 Pro (National Academic only) and Windows 10 Pro in S mode (National Academic only)) is revised to change the minimum number of units from the current ≥50,000 units to ≥10,000 units.
      • AT 1502 (National Academic Products for Higher Education (EM) – Windows 10 Home (National Academic only) (EM)) is revised to add a minimum number of 10,000 units, with LOE (EM).

      • The June 1, 2021, effective Processor List is revised to: (1) add a new List F, covering >16 threads for the new core i7 hybrid processors; and (2) add a new thread-based pricing entry to List D for ≤16 threads for the new core i7 hybrid processors.

    Detail of update:
    For purposes of clarification of intent, the following information has been added to the price list table for Windows 10 Pro (NAO) Standard ("Entry WW") under "Other Requirements":

    • Must not include an ODD

    Microsoft hereby provides a waiver of the requirement for OEMs to preinstall Windows Release 21H1. This waiver applies to the following terms:

    • GPA – Windows Price List and Product Terms, AT 1005 Section 2.1 (a)
    • Device Configuration Document 2021 for Tier 1, section 2.11
    • Market Development Program for Client Products 2021 Program Letter, section 2.1a

    This waiver applies only to this specific Windows Release and does not otherwise amend or modify the terms of the Agreement, the Device Configuration Document, or the Market Development Program.

    Specific details of the waiver:
    Global Partner Agreement (GPA) - Windows Price List and Product Terms

    AT 1005 Section 2.1 (a) Windows 10 Home Products preinstall is waived for Windows Release 21H1.

    2. Company must comply with the following technical requirements.

    2.1 Windows Release Support

    1. Windows 10 Home Products. For each Windows 10 Home Customer System, Company must preinstall the most recent Windows Release within 180 days of the Windows Release RTM.

    Device Configuration Document 2021 for Tier 1

    Section 2.11 Windows Release Adoption is waived for both Home and Pro for Windows Release 21H1.

    2.11 Windows Release Adoption.

    For each Partner System preinstalled with Windows 10, Company must:

    1. Create a text file named csup.txt. This file must include the date of the Software Load in the form MM-DD-YYYY by itself, with no other characters, on a single line at the top of the file; and
    2. Preinstall the csup.txt file in the Windows folder located on the Partner System’s hard drive (i.e., C:\Windows)
    3. 90 days after the Windows Release RTM and upon new Software Load, preinstall the most recent Windows Release (“Windows Release Adoption”).
      1. Professional – Calendar Year H2/Fall (CYH2) release of Windows is required and beginning with Calendar Year 2021, Calendar year H1/Spring (CYH1) release of Windows is recommended.
      2. Home – Calendar Year H1/Spring (CYH1) and Calendar Year H2/Fall (CYH2) release of Windows are required.

    Market Development Program for Client Products 2021 Program Letter

    Section 2.1 (a) Windows Release Testing is waived for both Home and Pro for Windows Release 21H1.

    1. Windows Release Testing
      Testing requirements: To ensure compatibility for Windows 10 Partner Systems, upon notification by MS via the Partner Portal (or such other site, as provided by MS) that a Windows Release is forthcoming and requires testing, Company must:

      1. Make commercially reasonable efforts to test Tested Systems for each Windows Release to ensure such systems can support the release. Partner Systems being utilized for Windows Release testing are to include the Windows Release, SMBIOS configuration and drivers most recently included on the Distributed Partner System and are to include a Windows license which is ready to be activated. MS will provide Company with Test Guidance on the Partner Portal for each Windows Release. Company must perform the steps outlined in the Test Guidance, or develop their own test plan; provided that Company’s testing addresses all areas and provides the same level of testing as contemplated under the Test Guidance, including testing all functionality intended to be tested under the Test Guidance; and

      2. Log and administer bugs during testing in relation to issues that are due to each Windows Release. In addition, Company is to update the status of the Tested Systems at least one time a week during the Windows Release testing period, or until the testing of the Tested Systems is completed. The identified bugs are to be resolved in a mutually agreed upon manner within the testing window; and

      3. Submit to MS the test results for each Tested System. MS will provide Company with Test Guidance on the Partner Portal for each Windows Release. This will contain the process for submitting test results. Such test results are due to MS per the schedule communicated by MS on the Partner Portal and/or in the Test Guidance. In addition, Tested System reports must list any firmware or non-MS drivers that caused the Windows Release to fail. MS will provide Windows Release builds for testing prior to each applicable Windows Release testing window.

      4. Company is not required to perform individualized testing for every model, language version, or build-to-order configuration. For example, Company may test each series as a group and separately test application and hardware variations. For Tested Systems, Company may exclude from testing any limited quantity models not likely to be upgraded to the latest Windows Release (e.g., special purpose commercial systems) and Partner Systems with a Custom Image. In addition, Company must prioritize the testing of newer Partner Systems that most recently have been released.

    Storage Cache Clarification:

For example: a system with 16GB storage cache included with a 1TB HDD result in total storage for that system as 1TB + 16GBs.   

    MDA Updates:
    MDA Discounts have been updated per previous communications to the new discount available to OEMs effective October 1, 2019. 

    National Academic Products Changes: 
    Introduction of National Academic only (NAO) Entry Product (WW) which has a Product Fee of $15.00 with an effective date of October 1, 2019.

    To align with the National Academic pricing for Entry Products, the Product Fee for Windows 10 Pro for Entry Standard version the Product Fee has been reduced to $25.00 with a $10.00 configuration discount.

    Microsoft is adding additional processor list options for certain Windows 10 Pro and Windows 10 Home products

    The RS3 Product IDs for Windows 10 Pro in S mode SKUs have been removed now that the November 12, 2018 deadline for OEMs to pre-install the RS4 release of Windows 10 has passed.

    The restriction that OEMs may not use a processor that is included on a processor list for the following Windows 10 Pro S and Windows 10 Home in S mode has been removed to align with the Windows 10 Pro and Windows 10 Home:

    • Windows® 10 Pro in S mode Standard Version
    • Windows® 10 Pro in S mode N Version
    • Windows® 10 Pro in S mode Simplified Chinese Language (PRC)
    • Windows® 10 Home in S mode Standard Version
    • Windows® 10 Home in S mode N Version
    • Windows® 10 Home in S mode Single Language

     

    The ≤14.1 display restriction on the consolidated Windows 10 Home for Value Single language SKU has been removed from the pricelist table and moved to AT 1207. It was Microsoft’s intention for this requirement to be effective May 1, 2019. This will allow OEMs to transition Notebook devices to the new consolidated SKUs prior to May 1, 2019. The display restriction will be applied to Notebook form factors with 4GB or RAM and ≤128 GB storage. It will not be applied to Notebook form factors with 4GB and 500 GB HDD.


    AT 2016 has been amended to notify OEMs that a no ODD restriction will be added to Windows 10 Home in S mode for Value Single Language Product for all form factors except Desktops and Notebooks with ≤4 RAM and ≤500 HDD Storage.

    AT 1012 Product EOL was added to Windows® 10 Home for Small Tablet & 2 in 1 Standard Version and Windows® 10 Home for Small Tablet & 2 in 1 N Version. Microsoft announced that these SKUS would be EOL April 30, 2019, however the AT was inadvertently not applied to these SKUs.

    Processor List tab updates were made for National Academic only Products in order to align to the processor list changes that consolidated all of the StF Value form factors under a single tab (List “L”) and changed the former List “L” to List “M” for National Academic only Plus Products.

    The Intel i9 or AMD Threadripper processor requirement will be removed from the Windows 10 Pro for Workstation SKUs. 

    Shape the Future – National Academic Products
    Mapped the general AT for the GML requirement (AT 7003) to all of the Window 10 Pro (National Academic only) Products
    Ensured that the EOL AT for Downgrade (AT 1301) is clearly mapped to all of the Downgrade Facilitation Rights (National Academic only) Products, which EOL on October 31, 2018

    IMPORTANT UPDATES. Microsoft is announcing the following important updates to the Windows Price List and Product Terms Document effective April 1, 2023.

    1. Pricing Update and new End of License date for Windows 11 Pro with Downgrade Facilitation Products. Microsoft is announcing two updates with respect to Windows 11 Pro with Downgrade Facilitation Products:

    • Price change. Effective July 1, 2023, there will be a $50.00 increase on the following editions of Windows 11 Pro with Downgrade Facilitation Products; please see the Price List for details.
    • Windows 11 Pro Standard with Downgrade Facilitation
    • Windows 11 Pro High-end with Downgrade Facilitation
    • Windows 11 Pro for Workstations with Downgrade Facilitation (all editions)
    • End of License Date. The End of License (EOL) date for all Windows 11 Pro with Downgrade Facilitation Products, including NAO editions, is designated as March 31, 2024. The EOL date for all Windows test keys is also now designated as March 31, 2024.
    • End User Flyer. An updated version of the end user-ready flyer that incorporates these updates can be found here

    2. Revised Windows Release Adoption Timeline for Windows 11 Home and Windows 11 Pro. The Windows May 2023 Continuous Innovation (CI) Release is designated as the required release to initiate the 180-day release adoption requirement for both Windows 11 Home and Windows 11 Pro in CY23Q2. Please see AT 1005 for details.

    3. Revised Price List Hardware Specifications. The Price List has been updated to address partner feedback requesting greater clarity around the timing for implementation of the new policy regarding no boot from HDD goes into effect. The new policy regarding no boot from HDD is updated to go into effect on November 1, 2023, as indicated in the revised Price List. Please see the redline version for specific details. In addition, the Windows Product Placemat has been updated to ensure complete consistency between the Price List and the Windows Placemat; the revised Windows Product Placemat for April 1, 2023, can be found here

    4. Other Updates

    To correspond with the announcement by Microsoft on June 24, 2021, of the availability of a new version of Windows, a Price List and Product Terms document for the new Windows product offerings is being made available, and can be found here. A detailed discussion of important key differences between Windows 10 and new Windows product license terms and offerings is provided below.

    Product Information NOTE: The Price List and Product Terms document for the new Windows product offerings published on June 24, 2021, will show a placeholder name for all new Products.

    • Product Names. The new product names are consistently shown as “New Windows®”+ Edition (Home/Pro) (+ N) + sub edition (Entry/Value/etc.) + additional qualifiers (e.g., cores, Simplified Chinese Language, or NAO).
    • Minimum hardware specifications. New minimum hardware specifications are associated with the new version of Windows, which are different from the minimum hardware specifications for Windows 10. Due to those differences, there will be no New Windows Home for Small Tablet & 2-in-1 SKU. In addition, the display requirements for “Tablet & 2-in-1” specifications for “New Windows Home Entry” and “New Windows Pro Entry” have been revised to accommodate the new minimum hardware specifications for the new version of Windows. Windows 10 offerings are unchanged.
    • Windows for ARM 64. With the release of Windows 10 Pro for Value in February 2021, Microsoft initiated the practice of including ARM-based offerings through mapping of Windows for ARM OPKs to generally available product SKUs. This practice is in place for all new Windows Home, Pro and NAO products, as noted in the revised Footnote 5, section 2, “Platform Support.” As such, there are no standalone SKUs designated as “for Windows for ARM64.”
    • Downgrade Facilitation SKUs. A new set of SKUs for “New Windows Pro” and “New Windows Pro for National Academic only” are offered. These new SKUs, identifiable by “with Downgrade Facilitation” in the product name, are intended to enable OEMs the ability to preinstall Windows 10 software on a Customer System that is intended for distribution through their channel to commercial end users; as such, commercial end users will have an off the shelf option to acquire PCs that are licensed for both Windows 10 and the new version of Windows, and the flexibility to upgrade for free at a time that is convenient for the end user. The Product Index includes a second page of offerings dedicated to the new “with Downgrade Facilitation” SKUs.
    • Test Keys and MBR Keys. Production Test Keys and Multiple Activation Test Keys for the new version of Windows product offerings have new Product IDs and Licensable IDs. The Product ID and Licensable ID for MBR Keys is unchanged from Windows 10.

    Product Terms

    • ATs for the New Windows Products. The following new Additional Terms are associated with the new Windows product offerings:
      • AT 1902 (Upgrade Program – New Windows) This AT 1902 describes the Upgrade Program being offered by Microsoft for upgrading devices to new Windows.
      • AT 1903 (Downgrade Facilitation – New Windows) This AT 1903 describes the use and Distribution rights and requirements for licensing the “New Windows Pro with Downgrade Facilitation” and “New Windows Pro for NAO with Downgrade Facilitation” Products.
      • AT 1904 (Sales Embargo) OEMs may not sell devices with new Windows to end users until GA, or the General Availability date, which will be announced by Microsoft later this year. OEMs also may not sell new Windows devices to end users through retailers or distributors until GA. Details of the sales embargo requirements are found in this new AT 1904.
      • AT 1007 (32-bit and 64-bit Installations) AT 1007 does not apply to the new Windows products since the new offerings are 64-bit only.
      • AT 1109 (Distribution without S mode) AT 1109 is no longer a required term for Windows for ARM64 offerings, so it has been removed.
    • Replaced AT. AT 1010 (Product Disclaimers/Notices) has been replaced in its entirety by new AT 1016 (Windows Product Disclaimers/Notices). The new AT is updated to (1) clarify the sections of this AT that apply to both Windows 10 and the new Windows Products; and (2) indicate sections that are unique to each of Windows 10 and the new Windows Products.
    • Revised ATs. The following Additional Terms have been updated to accommodate the new Windows product offerings:
      • AT 6001 (Windows Product Fees) has been updated to enable broader applicability of this AT to include additional potential discounting scenarios other than the existing MDA, JS, and Device Configuration discount structure.
      • AT 8001 (Audio Visual (AV) and Telecommunications Technologies for Windows Products) has been revised to provide clarity as to the joint applicability of terms to both Windows 10 and the new Windows product offerings.

    Final Notes: On July 1, 2021, a consolidated Windows Price List and Product Terms document will be published. The July 1, 2021 Windows Price List and Product Terms will include all Windows 10 and new Windows product offerings. All pricing updates for Windows 10 announced earlier this year will apply to the new Windows products, and will also be reflected in this new consolidated Windows Price List and Product Terms document.

    Thread-based Pricing

    • Accompanying the new Windows Price List and Product Terms, are a new July 1, 2021, effective Windows Placemat and July 1, 2021, effective Processor List.
    • The Processor List has been revised to include two new processor lists (List F and List G), dedicated to the Core i7 Alder Lake processors covered by the new thread-based pricing model. PLEASE NOTE: the July 1, 2021, effective Processor List published at this time has a placeholder for specific part numbers for the affected Core i7 processors. The July 1, 2021, effective Processor List will be updated with final part numbers in June, when they are made available to Microsoft.

    Windows 10 (NAO) (Strategic) Products – Hardware Specification Change

    • Effective July 1, 2021, the hardware specifications and licensing requirements for the Windows 10 Pro (National Academic only) (Strategic) Standard Product (including the N version), and Windows 10 Home (National Academic only) (EM) (Strategic) will be revised.
    • Hardware specifications. For all Windows 10 (NAO) (Strategic) Products, the current specification for RAM of ≤4 GB will be changed to ≤8 GB.
    • Licensing
      • AT 1501 (National Academic Products – Windows 10 Pro (National Academic only) and Windows 10 Pro in S mode (National Academic only)) is revised to change the minimum number of units from the current ≥50,000 units to ≥10,000 units.
      • AT 1502 (National Academic Products for Higher Education (EM) – Windows 10 Home (National Academic only) (EM)) is revised to add a minimum number of 10,000 units, with LOE (EM).

      • The June 1, 2021, effective Processor List is revised to: (1) add a new List F, covering >16 threads for the new core i7 hybrid processors; and (2) add a new thread-based pricing entry to List D for ≤16 threads for the new core i7 hybrid processors.

    Detail of update:
    For purposes of clarification of intent, the following information has been added to the price list table for Windows 10 Pro (NAO) Standard ("Entry WW") under "Other Requirements":

    • Must not include an ODD
    • Must not include an HDD

    Microsoft hereby provides a waiver of the requirement for OEMs to preinstall Windows Release 21H1. This waiver applies to the following terms:

    • GPA – Windows Price List and Product Terms, AT 1005 Section 2.1 (a)
    • Device Configuration Document 2021 for Tier 1, section 2.11
    • Market Development Program for Client Products 2021 Program Letter, section 2.1a

    This waiver applies only to this specific Windows Release and does not otherwise amend or modify the terms of the Agreement, the Device Configuration Document, or the Market Development Program.

    Specific details of the waiver:
    Global Partner Agreement (GPA) - Windows Price List and Product Terms

    AT 1005 Section 2.1 (a) Windows 10 Home Products preinstall is waived for Windows Release 21H1.

    2. Company must comply with the following technical requirements.

    2.1 Windows Release Support

    1. Windows 10 Home Products. For each Windows 10 Home Customer System, Company must preinstall the most recent Windows Release within 180 days of the Windows Release RTM.

    Device Configuration Document 2021 for Tier 1

    Section 2.11 Windows Release Adoption is waived for both Home and Pro for Windows Release 21H1.

    2.11 Windows Release Adoption.

    For each Partner System preinstalled with Windows 10, Company must:

    1. Create a text file named csup.txt. This file must include the date of the Software Load in the form MM-DD-YYYY by itself, with no other characters, on a single line at the top of the file; and
    2. Preinstall the csup.txt file in the Windows folder located on the Partner System’s hard drive (i.e., C:\Windows)
    3. 90 days after the Windows Release RTM and upon new Software Load, preinstall the most recent Windows Release (“Windows Release Adoption”).
      1. Professional – Calendar Year H2/Fall (CYH2) release of Windows is required and beginning with Calendar Year 2021, Calendar year H1/Spring (CYH1) release of Windows is recommended.
      2. Home – Calendar Year H1/Spring (CYH1) and Calendar Year H2/Fall (CYH2) release of Windows are required.

    Market Development Program for Client Products 2021 Program Letter

    Section 2.1 (a) Windows Release Testing is waived for both Home and Pro for Windows Release 21H1.

    1. Windows Release Testing
      Testing requirements: To ensure compatibility for Windows 10 Partner Systems, upon notification by MS via the Partner Portal (or such other site, as provided by MS) that a Windows Release is forthcoming and requires testing, Company must:

      1. Make commercially reasonable efforts to test Tested Systems for each Windows Release to ensure such systems can support the release. Partner Systems being utilized for Windows Release testing are to include the Windows Release, SMBIOS configuration and drivers most recently included on the Distributed Partner System and are to include a Windows license which is ready to be activated. MS will provide Company with Test Guidance on the Partner Portal for each Windows Release. Company must perform the steps outlined in the Test Guidance, or develop their own test plan; provided that Company’s testing addresses all areas and provides the same level of testing as contemplated under the Test Guidance, including testing all functionality intended to be tested under the Test Guidance; and

      2. Log and administer bugs during testing in relation to issues that are due to each Windows Release. In addition, Company is to update the status of the Tested Systems at least one time a week during the Windows Release testing period, or until the testing of the Tested Systems is completed. The identified bugs are to be resolved in a mutually agreed upon manner within the testing window; and

      3. Submit to MS the test results for each Tested System. MS will provide Company with Test Guidance on the Partner Portal for each Windows Release. This will contain the process for submitting test results. Such test results are due to MS per the schedule communicated by MS on the Partner Portal and/or in the Test Guidance. In addition, Tested System reports must list any firmware or non-MS drivers that caused the Windows Release to fail. MS will provide Windows Release builds for testing prior to each applicable Windows Release testing window.

      4. Company is not required to perform individualized testing for every model, language version, or build-to-order configuration. For example, Company may test each series as a group and separately test application and hardware variations. For Tested Systems, Company may exclude from testing any limited quantity models not likely to be upgraded to the latest Windows Release (e.g., special purpose commercial systems) and Partner Systems with a Custom Image. In addition, Company must prioritize the testing of newer Partner Systems that most recently have been released.

    The Processor List effective February 1, 2021, is being updated to address a change to description of AMD processors in Processor List D and Processor List E.     Storage Cache Clarification:
    A clarification comment was made to the Product Table indicating that storage cache systems are considered as part of the overall storage of the device, which reads as follows: *For purposes of this Agreement, hardware pricing specification requirements consider storage cache systems as part of the overall storage of the device. For example: a system with 16GB storage cache included with a 1TB HDD result in total storage for that system as 1TB + 16GBs.   

    MDA Updates:
    MDA Discounts have been updated per previous communications to the new discount available to OEMs effective October 1, 2019. 

    National Academic Products Changes: 
    Introduction of National Academic only (NAO) Entry Product (WW) which has a Product Fee of $15.00 with an effective date of October 1, 2019. 

    AT 1505 Added-Removal of general Shape the Future requirements, including use of GML. 

    To align with the National Academic pricing for Entry Products, the Product Fee for Windows 10 Pro for Entry Standard version the Product Fee has been reduced to $25.00 with a $10.00 configuration discount. 

    This standardizes pricing and creates hardware configuration alignment for Windows 10 Home, Pro, and NAO at the Entry level.

    Microsoft is adding additional processor list options for certain Windows 10 Pro and Windows 10 Home products

    The RS3 Product IDs for Windows 10 Pro in S mode SKUs have been removed now that the November 12, 2018 deadline for OEMs to pre-install the RS4 release of Windows 10 has passed.

    The restriction that OEMs may not use a processor that is included on a processor list for the following Windows 10 Pro S and Windows 10 Home in S mode has been removed to align with the Windows 10 Pro and Windows 10 Home:

    • Windows® 10 Pro in S mode Standard Version
    • Windows® 10 Pro in S mode N Version
    • Windows® 10 Pro in S mode Simplified Chinese Language (PRC)
    • Windows® 10 Home in S mode Standard Version
    • Windows® 10 Home in S mode N Version
    • Windows® 10 Home in S mode Single Language

     

    The ≤14.1 display restriction on the consolidated Windows 10 Home for Value Single language SKU has been removed from the pricelist table and moved to AT 1207. It was Microsoft’s intention for this requirement to be effective May 1, 2019. This will allow OEMs to transition Notebook devices to the new consolidated SKUs prior to May 1, 2019. The display restriction will be applied to Notebook form factors with 4GB or RAM and ≤128 GB storage. It will not be applied to Notebook form factors with 4GB and 500 GB HDD.


    AT 2016 has been amended to notify OEMs that a no ODD restriction will be added to Windows 10 Home in S mode for Value Single Language Product for all form factors except Desktops and Notebooks with ≤4 RAM and ≤500 HDD Storage.

    AT 1012 Product EOL was added to Windows® 10 Home for Small Tablet & 2 in 1 Standard Version and Windows® 10 Home for Small Tablet & 2 in 1 N Version. Microsoft announced that these SKUS would be EOL April 30, 2019, however the AT was inadvertently not applied to these SKUs.

    Processor List tab updates were made for National Academic only Products in order to align to the processor list changes that consolidated all of the StF Value form factors under a single tab (List “L”) and changed the former List “L” to List “M” for National Academic only Plus Products.

    Windows 10 Home for Entry Single Language EM and Windows 10 Home in S mode for Entry Single Language SKUs
    Microsoft announced that hardware configuration requirements for Storage, for the Windows 10 Home for Entry Single Language EM and Windows 10 Home in S mode for Entry Single Language SKUs would increase from 32GB to 64GB on May 1, 2019 (RS6). Microsoft is pulling forward that change and that change will now be effective starting October 1, 2018. Please note: this change is for the Windows 10 Home for Entry Single Language and Windows 10 Home in S mode for Entry Single Language only. The Standard and N version of these SKUs will remain at 32GB until May 1, 2019 as planned.
    Hardware configuration changes for the following products have been moved up from RS6 to be effective for RS5 October 1, 2018:

    A new pricing tier called Windows Pro for High-end has been added. All OEM customer systems distributed with Intel i9 or AMD Threadripper processors will be required to use these SKUs effective October 1, 2018.
    The Intel i9 or AMD Threadripper processor requirement will be removed from the Windows 10 Pro for Workstation SKUs. 

    Shape the Future – National Academic Products
    Mapped the general AT for the GML requirement (AT 7003) to all of the Window 10 Pro (National Academic only) Products
    Ensured that the EOL AT for Downgrade (AT 1301) is clearly mapped to all of the Downgrade Facilitation Rights (National Academic only) Products, which EOL on October 31, 2018
    Added the Product ID’s for all of the Windows 10 Pro in S mode (National Academic only) Products, which were announced at Preview and become effective October 1, 2018.
    Provided clarity to the language for the National Academic only (Plus) Products.  Use of the NAO Plus Products is required when the Hardware Configuration Requirements are met.
