Changes to Product Pricing effective April 1, 2024:

  • AT 1001 (Windows Hardware Requirements) – New subsections 3 (Copilot in Windows Keyboard Key (“Copilot Key”): New subsection 3 has been added to communicate requirements for distribution of Copilot Key on keyboards.

  • AT 1005 (Windows as a Service: Support for New Customer Systems)

Revised subsection 2.1(a) (Windows Release Lifecycle Windows Home Products) and subsection 2.1(b) (Windows Release Lifecycle Windows Pro Products) to designate the next required release for both Home and Pro is Spring 2024.

  • AT 1016 (Windows Product Disclaimers / Notices)
    New Sections 1.8 (Copilot in Windows) and 1.9 (Use of Copilot Icon on PCs, Keyboards and Mice) have been added to communicate requirements for use of new Copilot trademarks.

  • AT 8001 (Audio Visual (AV) and Telecommunication Technologies for Windows Products)
    • Section 5 (Dolby DD/DD+ Codecs) is updated to reflect the removal of the Dolby Codecs from Windows releases, commencing with Windows 11, Version 24H2
    • Section 7 (MPEG-2 Codec) is updated to reflect the addition of the MPEG-2 codec to Windows, commencing with Windows 11, Version 24H2. The MPEG-2 is optional for inclusion in Company images.

The ODM Price List and Product Terms Document is presented to offer the following new terms and information. Please review the document for details.

Changes to Product Pricing effective April 1, 2023:

  • Windows 11 Home Entry Products: change in base Product Fee $25.00 to $10.00, and Device Configuration Discount remains at $10.00. Details of applying the Device Configuration Discount may be found in new AT 1202.
  • Windows Home Value Products: change in base Product Fee from $63.10 to $53.10.
  • Windows 11 Home Standard Products: change in base Product Fee from $63.95 to $67.95.
  • Windows 11 Pro Standard Products: change in base Product Fee from $119.00 to $122.00.

Changes to Product Hardware-based Pricing Specifications:

  • Windows Home Value and Windows Home Value Single Language Products: the hardware-based pricing specifications for both Products will be changed from ≤ 4 GB RAM, to ≤ 8 GB RAM.
  • No boot from HDD: Effective November 1, 2023, Windows 11 Customer Systems must not use HDD as the primary operating system boot drive. See update to AT 1005, below for more details.
    The following Product currently allow HDD which will change, as noted in the revised Price List:
    Windows Home Standard Single Language (SL)
    Windows Home Plus and Home Plus SL
    Windows Home Advanced and Home Advanced SL
    Windows Pro Standard

    Windows Pro Workstation
  • Windows 11 Home Advanced and Windows 11 Home Advanced Single Language Products: storage threshold increased from >1.256TB to >1.3TB
  • Windows 11 Pro Value Products: increase in RAM from ≤4GB to ≤8GB

Other changes to Price List:

  • Removed all Windows 10 products and references.
  • Windows 10 Production Test Keys: inserted new End of License date of March 31, 2024.
  • Microsoft® Office OEM Preinstallation Kit (OPK), Licensable ID 269-17286 is added to the ODM Price List and Product Terms. This OPK Licensable ID includes the OPK version 2205 and all future OPK releases will be mapped to it, as noted in new AT 1434. To help partners access the most up-to-date OPKs, the OPK with Licensable ID 269-17286 must be added to your agreement through the DOC Add/Remove functionality to ensure access upon release. For more information on how to add products through DOC, please see Digital Operations Center (DOC) UX upgrade—Products (microsoft.com).
  • Office OPK 20H2: inserted new End of License date of August 31, 2023.

Changes to Product Terms:

  • AT 1001 (Windows Hardware Requirements) – New subsections 2.2 (a) and (b) (Hardware Requirements for Windows Products): new terms added regarding standards of compliance with Minimum Hardware Requirements and Microsoft commitment to 90 days’ notice prior to a Windows Release of changes to requirements for that Windows Release.
  • AT 1005 (Windows as a Service: Support for New Customer Systems).
    Revised subsection 2.1(a) (Windows Release Lifecycle Windows Home Products) and subsection 2.1(b) (Windows Release Lifecycle Windows Pro Products): to remove the specific release references and revert to general Home and Pro release update cycles.
    New subsection 2.1(c) (Windows Release Lifecycle Policy Requirement): to mitigate the potential for negative end user experience of acquiring a system with an unsupported Windows release, Microsoft has added new terms clarifies the status of end of support releases as “end-of-license” under the Agreement. Microsoft is making these changes to ensure that the end user OOBE (out of box experience) on all partner devices continues to meet the quality of excellence for which both our partners’ brands and Microsoft desire.
    New subsection 2.2(d) (Windows Release Support – HDD Primary Boot Policy): new terms added that apply to Distribution of Customer Systems that include the Windows 2023 Release, which require that those systems must not use HDD as the primary operating system boot drive.
  • Removal of ATs applicable only to Windows 10 Products:
    AT 1016 (Windows Product Disclaimers / Notices): Subsection 2 (Windows 10 Products – Additional Notice Requirements) and
    AT 1023 (Windows 10 32-bit and 64-bit Installations)
  • New AT 1202 (Windows Home Entry -- Device Configuration Discount): new terms added to define the process for implementing the Device Configuration Discount for Windows Home Entry Products and clarifying that the Windows 11 Home Entry Products are included in annual volume calculations to determine eligibility for GPA renewal.
  • New AT 1434 (Standard Office OPK Licensable): new terms added to provide clarity on the new Microsoft® Office OEM Preinstallation Kit (OPK), Licensable ID 269-17286.
  • Revisions to AT 7002 (Motherboard Replacement Keys – OA 3.0 Products): reformatted to clarify section content.
  • AT 8001 (Audio Visual (AV) and Telecommunication Technologies for Windows Products) has been revised to reflect the following:
    • Microsoft is no longer a licensee in the MPEG-4 Visal patent pool; and
    • With Windows 11 22H2, Microsoft is delivering the HVEC codec as part of the Product. The HEVC codec remains optional.

The ODM Price List and Product Terms Document has been updated to include the end of license date for Windows 10 Product of October 31, 2022, an extension for adoption of Windows 11 Pro CY21H2 to October 31, 2022, and additional wording changes to provide clarity and align with the same terms for OEMs:

  • Footnote 3 Processor List; Platform Support – This footnote is revised to provide clarity on ability to use Qualcomm processors with all Windows 11 Product.
  • Products with an End of License date of December 31, 2021, have been removed from the Price Lists and references to those Products removed throughout the document.
  • AT 1021, AT 1022, and AT 1202 have been removed as they only applied to Products with a December 31, 2021 End of License date.
  • AT 1001 2.1 (Windows Hardware Requirements) (b) has been added to clarify that keyboards may be distributed with Customer Systems unless specified on the Price List in the Hardware Configuration Requirements.
  • AT 1005 2.1 (Windows as a Service: Support for New Customer Systems) has been updated to reflect an extension of time for adoption of the Windows 11 Pro CY21H2 Release from the current date to October 31, 2022.
  • The follow ATs have minor wording changes to provide clarity and align with OEM wording of the same terms.

Pass-Through Terms 

New Pass-Through Terms have been recently published on DPC here

ODMs need to update the Pass-Through Terms associated with devices that include a Windows 10 Product launched in August or Windows 11 Product in order for Channel Partners and Brand Partners to have the correct terms for these Products.

The ODM Price List and Product Terms Document has been updated to expand the list of Windows 10 Products available in the ODM channel.

This list consolidates the ODM price lists and includes both standard Product and ARM64 Product.

These new Products align with Products and SKU numbering in our OEM channel. Many of the current ODM specific SKUs are being replaced with new SKU numbering. ODMs will have until December 31, 2021 to transition to the new SKU numbering.

Additional Terms (ATs) have been updated as noted below.

These changes include terms for new Products with some minor edits and numbering changes to align ODM ATs with OEM Product ATs and setup terms for the addition of Windows 11 Products.

Please note that these ATs include all of the terms associated with these Product including certain requirements that Company must pass through to Channel Partners and Brand Partners, such as End User Support, Recovery Solution, notices to End Users, and Distribution requirements. In the event Company acts as a Brand Partner then all requirements apply to Company. See new AT 1910 and AT 1911 for additional details regarding Pass Through Terms.

Microsoft will be providing ODMs with new Pass-Through Terms for Channel Partners and Brand Partners that include updated ATs.

  • AT 1001: Renumbered from AT 1020.

- 2.1 revised with new terms for Home Advanced and Pro Plus, High-end, and Workstation Products.

  • AT 1002: New AT for optional Cloud Recovery Solution.

  • AT 1911: New AT for Products that have specific Distribution restrictions that must be passed through the Channel Partners and Brand Partners. For example, Product with consumer market restriction, Product for Single Language/Emerging Market, and Product for Distribution only in the PRC.
  • AT 5004: Removed as not applicable to any Product.
  • AT 5008 and 5009: New ATs for Pro Simplified Chinese Language (PRC) versions. Includes Distribution restriction to PRC only.
  • AT 5010: New AT that prohibits Distribution of Simplified Chinese Language version in PRC.
  • AT 5022: Removed restriction on Distribution of Office OPK in Japan.
  • AT 6500: Removed – Microsoft Store OEM Program was cancelled this past year.
  • AT 7001: New AT for non-activatable Product Test Keys.

Microsoft hereby provides a waiver of the requirement for OEMs to preinstall Windows Release 21H1 as set forth in the GPA – ODM Price List and Product Terms, AT 1022 Section 2.1 (a)

2. Company must comply with the following technical requirements.

2.1 Windows Release Support

  1. Windows 10 Home Products. For each Windows 10 Home Customer System, Company must preinstall the most recent Windows Release within 180 days of the Windows Release RTM.

This waiver applies only to this specific Windows Release and does not otherwise amend or modify the terms of the Agreement.

The ODM Price List and Product Terms Document has been updated with new Office OPK version 2004 and Office OPK 1910. There are a few new Product End of License Dates, we added Licensable ID for Products, and made some general updates. Following is a list of changes made:

  • Added Licensable IDs for each Product
  • Added links throughout document for ease of use
  • Added footnotes to price list for clarity
  • Added Processor List to align with current list names
  • Added the new Office OPK version 2004
  • Added the Office OPK version 1910
  • Added Product End of License date for Office OPK 1904 (June 30, 2020) and Office OPK 1910 (December 31, 2020)

AT 1415: Office OEM Preinstallation Kit (Office OPK). Added to the Agreement and the Product Terms Table for Microsoft® Office OEM Preinstallation Kit 1904 Product.

AT 1401: Office Mobile OEM Preinstallation Kit. Removed as the Microsoft Office Mobile Product has been removed due to Product End of Life.

ADDITIONAL TERMS:

General clean up to remove obsolete or unused ATs references

  • AT 1010:  Windows 10 Product Disclaimers/Notices.  The AT has been revised to remove obsolete requirements and to add two new sections.  New subsections 1 and 2 relate, respectively, to end user acceptance of license and warranty terms in use terms and potential limitations on free storage space in certain configurations.
  • AT 1201:  Consumer Limitation for Windows Home Products.  Updates to provide clarity as to Windows 10 Home SKUs exempt from prohibition on sale, marketing, etc. for commercial use.
  • AT 7007 added to enable the correct application of the GML requirement to the recently consolidated Home SKUs

AT 8001 revised to add new language in section 7 Opus, VP9 Codec and Successors.

Please refer back to the communication posted here in September 2018 detailing the FY19H1 (formerly RS6) changes. The only new significant change is the removal of Windows 10 Pro Value SKUs due to the change to the minimum spec for Windows 10 Pro Entry SKUs to allow for 64GB of Storage.

The following SKUs have been removed due to End of Life on or before May 1, 2019:

    Revised subsection 2.1(a) (Windows Release Lifecycle Windows Home Products) and subsection 2.1(b) (Windows Release Lifecycle Windows Pro Products): to remove the specific release references and revert to general Home and Pro release update cycles.
    New subsection 2.1(c) (Windows Release Lifecycle Policy Requirement): to mitigate the potential for negative end user experience of acquiring a system with an unsupported Windows release, Microsoft has added new terms clarifies the status of end of support releases as “end-of-license” under the Agreement. Microsoft is making these changes to ensure that the end user OOBE (out of box experience) on all partner devices continues to meet the quality of excellence for which both our partners’ brands and Microsoft desire.
    New subsection 2.2(d) (Windows Release Support – HDD Primary Boot Policy): new terms added that apply to Distribution of Customer Systems that include the Windows 2023 Release, which require that those systems must not use HDD as the primary operating system boot drive.
  • Removal of ATs applicable only to Windows 10 Products:
    AT 1016 (Windows Product Disclaimers / Notices): Subsection 2 (Windows 10 Products – Additional Notice Requirements) and
    AT 1023 (Windows 10 32-bit and 64-bit Installations)
  • New AT 1202 (Windows Home Entry -- Device Configuration Discount): new terms added to define the process for implementing the Device Configuration Discount for Windows Home Entry Products and clarifying that the Windows 11 Home Entry Products are included in annual volume calculations to determine eligibility for GPA renewal.
  • New AT 1434 (Standard Office OPK Licensable): new terms added to provide clarity on the new Microsoft® Office OEM Preinstallation Kit (OPK), Licensable ID 269-17286.
  • Revisions to AT 7002 (Motherboard Replacement Keys – OA 3.0 Products): reformatted to clarify section content.
  • AT 8001 (Audio Visual (AV) and Telecommunication Technologies for Windows Products) has been revised to reflect the following:
    • Microsoft is no longer a licensee in the MPEG-4 Visal patent pool; and
    • With Windows 11 22H2, Microsoft is delivering the HVEC codec as part of the Product. The HEVC codec remains optional.

These new Products align with Products and SKU numbering in our OEM channel. Many of the current ODM specific SKUs are being replaced with new SKU numbering. ODMs will have until December 31, 2021 to transition to the new SKU numbering.

Additional Terms (ATs) have been updated as noted below.

These changes include terms for new Products with some minor edits and numbering changes to align ODM ATs with OEM Product ATs and setup terms for the addition of Windows 11 Products.

Please note that these ATs include all of the terms associated with these Product including certain requirements that Company must pass through to Channel Partners and Brand Partners, such as End User Support, Recovery Solution, notices to End Users, and Distribution requirements. In the event Company acts as a Brand Partner then all requirements apply to Company. See new AT 1910 and AT 1911 for additional details regarding Pass Through Terms.

Microsoft will be providing ODMs with new Pass-Through Terms for Channel Partners and Brand Partners that include updated ATs.

Microsoft hereby provides a waiver of the requirement for OEMs to preinstall Windows Release 21H1 as set forth in the GPA – ODM Price List and Product Terms, AT 1022 Section 2.1 (a)

2. Company must comply with the following technical requirements.

2.1 Windows Release Support

  1. Windows 10 Home Products. For each Windows 10 Home Customer System, Company must preinstall the most recent Windows Release within 180 days of the Windows Release RTM.

This waiver applies only to this specific Windows Release and does not otherwise amend or modify the terms of the Agreement.
