The June 1, 2021, effective Windows Price List and Product Terms Document will be replaced effective July 1, 2021, with a new set of terms.
The changes that are being made with this new document are in two areas, for which details are provided below.

Thread-based Pricing

  • The introduction of the new thread-based pricing model for new generation (Alder Lake) Intel core i7 hybrid processors is being delayed from the originally communicated June 1, 2021, effective, to July 1, 2021, effective.
  • Accompanying the new Windows Price List and Product Terms, are a new July 1, 2021, effective Windows Placemat and July 1, 2021, effective Processor List.
  • The Processor List has been revised to include two new processor lists (List F and List G), dedicated to the Core i7 Alder Lake processors covered by the new thread-based pricing model. PLEASE NOTE: the July 1, 2021, effective Processor List published at this time has a placeholder for specific part numbers for the affected Core i7 processors. The July 1, 2021, effective Processor List will be updated with final part numbers in June, when they are made available to Microsoft.

Windows 10 (NAO) (Strategic) Products – Hardware Specification Change

  • Effective July 1, 2021, the hardware specifications and licensing requirements for the Windows 10 Pro (National Academic only) (Strategic) Standard Product (including the N version), and Windows 10 Home (National Academic only) (EM) (Strategic) will be revised.
  • Hardware specifications. For all Windows 10 (NAO) (Strategic) Products, the current specification for RAM of ≤4 GB will be changed to ≤8 GB.
  • Licensing
    • AT 1501 (National Academic Products – Windows 10 Pro (National Academic only) and Windows 10 Pro in S mode (National Academic only)) is revised to change the minimum number of units from the current ≥50,000 units to ≥10,000 units.
    • AT 1502 (National Academic Products for Higher Education (EM) – Windows 10 Home (National Academic only) (EM)) is revised to add a minimum number of 10,000 units, with LOE (EM).

  1. a new Windows Price List and Product Terms Document that will go into effect on June 1, 2021; and
  2. an update to the Windows Price List and Product Terms Document, effective date February 1, 2021.

The current February 1, 2021, effective Windows Price List and Product Terms Document will be replaced effective June 1, 2021 with a new set of terms. The changes that are being made with this new document are in three areas, for which details are provided below:

  • Removal of SKUs “in S mode” for Windows 10 Pro and Windows 10 Pro NAO;
  • Introduction of a new Windows 10 Pro for Workstations offering, and some related changes to the Windows 10 Pro for Workstations products; and
  • Introduction of a new thread-based pricing model for new generation Intel core i7 hybrid processors.

In addition, included in this updated version of the Windows Price List and Product Terms document, is a notice that effective June 1, 2021, the Microsoft Office Professional for Academic products will no longer be offered under the Windows Price List and Product Terms. Those products will be moved to become available under the Microsoft Office Price List and Product Terms effective June 1, 2021.

To address the availability of new generation Intel core i7 hybrid processors, Microsoft is introducing thread-based pricing. The following changes are being made to the Windows Price List and Product Terms (and corresponding Placemat), and the June 1, 2021, effective Processor List:
    • The Windows Price List and Product Terms document effective June 1, 2021, is revised to add a reference to List F in the Windows 10 Home Advanced hardware configuration specifications.
    • The June 1, 2021, effective Processor List is revised to: (1) add a new List F, covering >16 threads for the new core i7 hybrid processors; and (2) add a new thread-based pricing entry to List D for ≤16 threads for the new core i7 hybrid processors.

Detail of update:
For purposes of clarification of intent, the following information has been added to the price list table for Windows 10 Pro (NAO) Standard ("Entry WW") under "Other Requirements":

  • Must not include an ODD
  • Must not include an HDD
February 5, 2021

Microsoft hereby provides a waiver of the requirement for OEMs to preinstall Windows Release 21H1. This waiver applies to the following terms:

  • GPA – Windows Price List and Product Terms, AT 1005 Section 2.1 (a)
  • Device Configuration Document 2021 for Tier 1, section 2.11
  • Market Development Program for Client Products 2021 Program Letter, section 2.1a

This waiver applies only to this specific Windows Release and does not otherwise amend or modify the terms of the Agreement, the Device Configuration Document, or the Market Development Program.

Specific details of the waiver:
Global Partner Agreement (GPA) - Windows Price List and Product Terms

AT 1005 Section 2.1 (a) Windows 10 Home Products preinstall is waived for Windows Release 21H1.

2. Company must comply with the following technical requirements.

2.1 Windows Release Support

  1. Windows 10 Home Products. For each Windows 10 Home Customer System, Company must preinstall the most recent Windows Release within 180 days of the Windows Release RTM.

Device Configuration Document 2021 for Tier 1

Section 2.11 Windows Release Adoption is waived for both Home and Pro for Windows Release 21H1.

2.11 Windows Release Adoption.

For each Partner System preinstalled with Windows 10, Company must:

  1. Create a text file named csup.txt. This file must include the date of the Software Load in the form MM-DD-YYYY by itself, with no other characters, on a single line at the top of the file; and
  2. Preinstall the csup.txt file in the Windows folder located on the Partner System’s hard drive (i.e., C:\Windows)
  3. 90 days after the Windows Release RTM and upon new Software Load, preinstall the most recent Windows Release (“Windows Release Adoption”).
    1. Professional – Calendar Year H2/Fall (CYH2) release of Windows is required and beginning with Calendar Year 2021, Calendar year H1/Spring (CYH1) release of Windows is recommended.
    2. Home – Calendar Year H1/Spring (CYH1) and Calendar Year H2/Fall (CYH2) release of Windows are required.

Market Development Program for Client Products 2021 Program Letter

Section 2.1 (a) Windows Release Testing is waived for both Home and Pro for Windows Release 21H1.

  1. Windows Release Testing
    Testing requirements: To ensure compatibility for Windows 10 Partner Systems, upon notification by MS via the Partner Portal (or such other site, as provided by MS) that a Windows Release is forthcoming and requires testing, Company must:

    1. Make commercially reasonable efforts to test Tested Systems for each Windows Release to ensure such systems can support the release. Partner Systems being utilized for Windows Release testing are to include the Windows Release, SMBIOS configuration and drivers most recently included on the Distributed Partner System and are to include a Windows license which is ready to be activated. MS will provide Company with Test Guidance on the Partner Portal for each Windows Release. Company must perform the steps outlined in the Test Guidance, or develop their own test plan; provided that Company’s testing addresses all areas and provides the same level of testing as contemplated under the Test Guidance, including testing all functionality intended to be tested under the Test Guidance; and

    2. Log and administer bugs during testing in relation to issues that are due to each Windows Release. In addition, Company is to update the status of the Tested Systems at least one time a week during the Windows Release testing period, or until the testing of the Tested Systems is completed. The identified bugs are to be resolved in a mutually agreed upon manner within the testing window; and

    3. Submit to MS the test results for each Tested System. MS will provide Company with Test Guidance on the Partner Portal for each Windows Release. This will contain the process for submitting test results. Such test results are due to MS per the schedule communicated by MS on the Partner Portal and/or in the Test Guidance. In addition, Tested System reports must list any firmware or non-MS drivers that caused the Windows Release to fail. MS will provide Windows Release builds for testing prior to each applicable Windows Release testing window.

    4. Company is not required to perform individualized testing for every model, language version, or build-to-order configuration. For example, Company may test each series as a group and separately test application and hardware variations. For Tested Systems, Company may exclude from testing any limited quantity models not likely to be upgraded to the latest Windows Release (e.g., special purpose commercial systems) and Partner Systems with a Custom Image. In addition, Company must prioritize the testing of newer Partner Systems that most recently have been released.

This communication outlines updates to the Windows Price List and Product Terms Document, effective date February 1, 2021. An overview of revisions is provided below, with all detailed changes indicated in the Redline version (link above). The redlined revisions reflect comprehensive changes from the February 1, 2020, effective document and includes redlines first presented by Microsoft on May 15, 2020. 

Primary areas of change to documents:

1. New for February 1, 2021 effective terms

  • Modification of hardware specifications for Windows 10 Home Entry, Windows 10 Pro for Entry, and Windows 10 Pro (NAO) Entry Products. Modifications have been made to the hardware specifications for Windows 10 Home Entry, Windows 10 Pro for Entry, and Windows 10 Pro (NAO) Entry Products that extend the ≤ 4GB RAM and ≤ 128GB SSD to systems configured with processors from Processor List A. With the modifications to the Entry-level Product offerings across Windows 10 Home, Window 10 Pro, and Windows 10 Pro (NAO), Microsoft is also introducing some changes to simplify the Windows 10 Pro (NAO) offerings. The simplification updates include:

(1) discontinuing the following Windows 10 Pro (NAO) Entry offerings; effective March 1, 2021, these SKUs will be End of License:

The Processor List effective February 1, 2021, is being updated to address a change to description of AMD processors in Processor List D and Processor List E. This update will go into effect with the Price List and Product Terms effective February 1, 2021. When this change goes into effect Microsoft will be classifying AMD processors on the specific AMD model series sub-brand name, rather than on the number of cores on the AMD processor. Storage Cache Clarification:
A clarification comment was made to the Product Table indicating that storage cache systems are considered as part of the overall storage of the device, which reads as follows: *For purposes of this Agreement, hardware pricing specification requirements consider storage cache systems as part of the overall storage of the device. For example: a system with 16GB storage cache included with a 1TB HDD result in total storage for that system as 1TB + 16GBs.

MDA Updates:
MDA Discounts have been updated per previous communications to the new discount available to OEMs effective October 1, 2019. 

National Academic Products Changes: 
Introduction of National Academic only (NAO) Entry Product (WW) which has a Product Fee of $15.00 with an effective date of October 1, 2019. 

AT 1505 Added-Removal of general Shape the Future requirements, including use of GML. 

To align with the National Academic pricing for Entry Products, the Product Fee for Windows 10 Pro for Entry Standard version the Product Fee has been reduced to $25.00 with a $10.00 configuration discount. 

This standardizes pricing and creates hardware configuration alignment for Windows 10 Home, Pro, and NAO at the Entry level.

Windows 10 Home for Entry Single Language EM and Windows 10 Home in S mode for Entry Single Language SKUs

Microsoft announced that hardware configuration requirements for Storage, for the Windows 10 Home for Entry Single Language EM and Windows 10 Home in S mode for Entry Single Language SKUs would increase from 32GB to 64GB on May 1, 2019 (RS6). Microsoft is pulling forward that change and that change will now be effective starting October 1, 2018. Please note: this change is for the Windows 10 Home for Entry Single Language and Windows 10 Home in S mode for Entry Single Language only. The Standard and N version of these SKUs will remain at 32GB until May 1, 2019 as planned.

Notices and Disclaimers for Windows 10 in S mode products

The Windows 10 S logo is being replaced with the Windows 10 Logo.

  • The end of license for Windows 10 with Downgrade Facilitation Simplified Chinese Language (PRC) will remain June 30, 2019. 

Windows 7 Professional Simplified Chinese Language (PRC) 

  • The end of license date for Windows 7 Professional Simplified Chinese Language (PRC) was changed from June 30, 2019 to December 31, 2018. 

Windows 10 Pro for Workstations Intel i9 and AMD Threadripper Requirements

  • A new pricing tier called Windows Pro for High-end has been added. All OEM customer systems distributed with Intel i9 or AMD Threadripper processors will be required to use these SKUs effective October 1, 2018.
  • The Intel i9 or AMD Threadripper processor requirement will be removed from the Windows 10 Pro for Workstation SKUs. 

Shape the Future – National Academic Products

  • Mapped the general AT for the GML requirement (AT 7003) to all of the Window 10 Pro (National Academic only) Products
  • Ensured that the EOL AT for Downgrade (AT 1301) is clearly mapped to all of the Downgrade Facilitation Rights (National Academic only) Products, which EOL on October 31, 2018
  • Added the Product ID’s for all of the Windows 10 Pro in S mode (National Academic only) Products, which were announced at Preview and become effective October 1, 2018.
  • Provided clarity to the language for the National Academic only (Plus) Products.  Use of the NAO Plus Products is required when the Hardware Configuration Requirements are met.
  • Based on feedback, we provided more specific language for the leasing enablement that we announced at Preview for National Academic Products in K-12, and which becomes effective on October 1, 2018, in Developed Markets.

Office Professional Academic products for the National Academic Program  

  • New Office 2019 product versions were added
  • An end of license date of October 31, 2019 was added for existing Office 2016 product versions 

OA2.1 Marker Requirement

  • The requirement for OEMs to include the OA2.1 marker on all Windows 10 Pro customer systems has been reduced to only be required on customer systems that also include a Processor that meets the processor Requirements for Windows 7 Professional Downgrade Software.

UEFI Notice Requirements:

  • Certain UEFI Notice Requirements have been removed 

Entry and Value Single Language and Select Geo SKU

Changes were made to the distribution restriction for customer systems distributed to Brazil.

A distribution restriction for customer systems distributed to Brazil were removed for the:

  • Windows 10 Home for Value Notebook Single Language Selected Geos SKUs
  • Windows 10 Home for Value Desktop Single Language Selected Geos SKUs

Distribution restrictions were added for Brazil to the:

A hardware configuration spec change was made to the following SKUs for customer systems distributed to Brazil only. OEMs may distribute customer systems with 4 GB RAM and 64 GB storage for entry SKUs and 4 GB of RAM and 128 GB of storage for value SKUs.

The changes that are being made with this new document are in two areas, for which details are provided below.

Thread-based Pricing

  • The introduction of the new thread-based pricing model for new generation (Alder Lake) Intel core i7 hybrid processors is being delayed from the originally communicated June 1, 2021, effective, to July 1, 2021, effective.
  • Accompanying the new Windows Price List and Product Terms, are a new July 1, 2021, effective Windows Placemat and July 1, 2021, effective Processor List.
  • The Processor List has been revised to include two new processor lists (List F and List G), dedicated to the Core i7 Alder Lake processors covered by the new thread-based pricing model. PLEASE NOTE: the July 1, 2021, effective Processor List published at this time has a placeholder for specific part numbers for the affected Core i7 processors. The July 1, 2021, effective Processor List will be updated with final part numbers in June, when they are made available to Microsoft.

Windows 10 (NAO) (Strategic) Products – Hardware Specification Change

  • Effective July 1, 2021, the hardware specifications and licensing requirements for the Windows 10 Pro (National Academic only) (Strategic) Standard Product (including the N version), and Windows 10 Home (National Academic only) (EM) (Strategic) will be revised.
  • Hardware specifications. For all Windows 10 (NAO) (Strategic) Products, the current specification for RAM of ≤4 GB will be changed to ≤8 GB.
  • Licensing
    • AT 1501 (National Academic Products – Windows 10 Pro (National Academic only) and Windows 10 Pro in S mode (National Academic only)) is revised to change the minimum number of units from the current ≥50,000 units to ≥10,000 units.
    • AT 1502 (National Academic Products for Higher Education (EM) – Windows 10 Home (National Academic only) (EM)) is revised to add a minimum number of 10,000 units, with LOE (EM).

Microsoft hereby provides a waiver of the requirement for OEMs to preinstall Windows Release 21H1. This waiver applies to the following terms:

  • GPA – Windows Price List and Product Terms, AT 1005 Section 2.1 (a)
  • Device Configuration Document 2021 for Tier 1, section 2.11
  • Market Development Program for Client Products 2021 Program Letter, section 2.1a

This waiver applies only to this specific Windows Release and does not otherwise amend or modify the terms of the Agreement, the Device Configuration Document, or the Market Development Program.

Specific details of the waiver:
Global Partner Agreement (GPA) - Windows Price List and Product Terms

AT 1005 Section 2.1 (a) Windows 10 Home Products preinstall is waived for Windows Release 21H1.

2. Company must comply with the following technical requirements.

2.1 Windows Release Support

  1. Windows 10 Home Products. For each Windows 10 Home Customer System, Company must preinstall the most recent Windows Release within 180 days of the Windows Release RTM.

Device Configuration Document 2021 for Tier 1

Section 2.11 Windows Release Adoption is waived for both Home and Pro for Windows Release 21H1.

2.11 Windows Release Adoption.

For each Partner System preinstalled with Windows 10, Company must:

  1. Create a text file named csup.txt. This file must include the date of the Software Load in the form MM-DD-YYYY by itself, with no other characters, on a single line at the top of the file; and
  2. Preinstall the csup.txt file in the Windows folder located on the Partner System’s hard drive (i.e., C:\Windows)
  3. 90 days after the Windows Release RTM and upon new Software Load, preinstall the most recent Windows Release (“Windows Release Adoption”).
    1. Professional – Calendar Year H2/Fall (CYH2) release of Windows is required and beginning with Calendar Year 2021, Calendar year H1/Spring (CYH1) release of Windows is recommended.
    2. Home – Calendar Year H1/Spring (CYH1) and Calendar Year H2/Fall (CYH2) release of Windows are required.

Market Development Program for Client Products 2021 Program Letter

Section 2.1 (a) Windows Release Testing is waived for both Home and Pro for Windows Release 21H1.

  1. Windows Release Testing
    Testing requirements: To ensure compatibility for Windows 10 Partner Systems, upon notification by MS via the Partner Portal (or such other site, as provided by MS) that a Windows Release is forthcoming and requires testing, Company must:

    1. Make commercially reasonable efforts to test Tested Systems for each Windows Release to ensure such systems can support the release. Partner Systems being utilized for Windows Release testing are to include the Windows Release, SMBIOS configuration and drivers most recently included on the Distributed Partner System and are to include a Windows license which is ready to be activated. MS will provide Company with Test Guidance on the Partner Portal for each Windows Release. Company must perform the steps outlined in the Test Guidance, or develop their own test plan; provided that Company’s testing addresses all areas and provides the same level of testing as contemplated under the Test Guidance, including testing all functionality intended to be tested under the Test Guidance; and

    2. Log and administer bugs during testing in relation to issues that are due to each Windows Release. In addition, Company is to update the status of the Tested Systems at least one time a week during the Windows Release testing period, or until the testing of the Tested Systems is completed. The identified bugs are to be resolved in a mutually agreed upon manner within the testing window; and

    3. Submit to MS the test results for each Tested System. MS will provide Company with Test Guidance on the Partner Portal for each Windows Release. This will contain the process for submitting test results. Such test results are due to MS per the schedule communicated by MS on the Partner Portal and/or in the Test Guidance. In addition, Tested System reports must list any firmware or non-MS drivers that caused the Windows Release to fail. MS will provide Windows Release builds for testing prior to each applicable Windows Release testing window.

    4. Company is not required to perform individualized testing for every model, language version, or build-to-order configuration. For example, Company may test each series as a group and separately test application and hardware variations. For Tested Systems, Company may exclude from testing any limited quantity models not likely to be upgraded to the latest Windows Release (e.g., special purpose commercial systems) and Partner Systems with a Custom Image. In addition, Company must prioritize the testing of newer Partner Systems that most recently have been released.

This communication outlines updates to the Windows Price List and Product Terms Document, effective date February 1, 2021. An overview of revisions is provided below, with all detailed changes indicated in the Redline version (link above). The redlined revisions reflect comprehensive changes from the February 1, 2020, effective document and includes redlines first presented by Microsoft on May 15, 2020. 

Primary areas of change to documents:

1. New for February 1, 2021 effective terms

  • Modification of hardware specifications for Windows 10 Home Entry, Windows 10 Pro for Entry, and Windows 10 Pro (NAO) Entry Products. Modifications have been made to the hardware specifications for Windows 10 Home Entry, Windows 10 Pro for Entry, and Windows 10 Pro (NAO) Entry Products that extend the ≤ 4GB RAM and ≤ 128GB SSD to systems configured with processors from Processor List A. With the modifications to the Entry-level Product offerings across Windows 10 Home, Window 10 Pro, and Windows 10 Pro (NAO), Microsoft is also introducing some changes to simplify the Windows 10 Pro (NAO) offerings. The simplification updates include:

When this change goes into effect Microsoft will be classifying AMD processors on the specific AMD model series sub-brand name, rather than on the number of cores on the AMD processor. A clarification comment was made to the Product Table indicating that storage cache systems are considered as part of the overall storage of the device, which reads as follows: *For purposes of this Agreement, hardware pricing specification requirements consider storage cache systems as part of the overall storage of the device. For example: a system with 16GB storage cache included with a 1TB HDD result in total storage for that system as 1TB + 16GBs.

MDA Updates:
MDA Discounts have been updated per previous communications to the new discount available to OEMs effective October 1, 2019. 

National Academic Products Changes: 
Introduction of National Academic only (NAO) Entry Product (WW) which has a Product Fee of $15.00 with an effective date of October 1, 2019. 

AT 1505 Added-Removal of general Shape the Future requirements, including use of GML. 

To align with the National Academic pricing for Entry Products, the Product Fee for Windows 10 Pro for Entry Standard version the Product Fee has been reduced to $25.00 with a $10.00 configuration discount.

The following SKUs will reach EOL on June 30, 2019, the SKUs and associated ATs have been removed:

  • AT 1301 Downgrade Facilitation Options, has been removed to reflect the EOL of the Windows® 10 Pro Simplified Chinese Language (PRC) (with Downgrade Facilitation) and the June 30, 2019 EOL of the option for OEMs to provide downgrade recovery media to end customers.
  • AT 5002 People’s Republic of China Product and AT 5007 Distribution Limitations for Selected Geography Products were removed as they were no longer applied to any Product.

Windows 10 Home for Entry Single Language EM and Windows 10 Home in S mode for Entry Single Language SKUs

Microsoft announced that hardware configuration requirements for Storage, for the Windows 10 Home for Entry Single Language EM and Windows 10 Home in S mode for Entry Single Language SKUs would increase from 32GB to 64GB on May 1, 2019 (RS6). Microsoft is pulling forward that change and that change will now be effective starting October 1, 2018. Please note: this change is for the Windows 10 Home for Entry Single Language and Windows 10 Home in S mode for Entry Single Language only. The Standard and N version of these SKUs will remain at 32GB until May 1, 2019 as planned.

The Windows 10 S logo is being replaced with the Windows 10 Logo.

Windows 10 Pro for Workstations Intel i9 and AMD Threadripper Requirements

  • A new pricing tier called Windows Pro for High-end has been added. All OEM customer systems distributed with Intel i9 or AMD Threadripper processors will be required to use these SKUs effective October 1, 2018.
  • The Intel i9 or AMD Threadripper processor requirement will be removed from the Windows 10 Pro for Workstation SKUs. 

Shape the Future – National Academic Products

  • Mapped the general AT for the GML requirement (AT 7003) to all of the Window 10 Pro (National Academic only) Products
  • Ensured that the EOL AT for Downgrade (AT 1301) is clearly mapped to all of the Downgrade Facilitation Rights (National Academic only) Products, which EOL on October 31, 2018
  • Added the Product ID’s for all of the Windows 10 Pro in S mode (National Academic only) Products, which were announced at Preview and become effective October 1, 2018.
  • Provided clarity to the language for the National Academic only (Plus) Products.  Use of the NAO Plus Products is required when the Hardware Configuration Requirements are met.
  • Based on feedback, we provided more specific language for the leasing enablement that we announced at Preview for National Academic Products in K-12, and which becomes effective on October 1, 2018, in Developed Markets.

Office Professional Academic products for the National Academic Program  

  • New Office 2019 product versions were added
  • An end of license date of October 31, 2019 was added for existing Office 2016 product versions 

OA2.1 Marker Requirement

  • The requirement for OEMs to include the OA2.1 marker on all Windows 10 Pro customer systems has been reduced to only be required on customer systems that also include a Processor that meets the processor Requirements for Windows 7 Professional Downgrade Software.

UEFI Notice Requirements:

  • Certain UEFI Notice Requirements have been removed 

Entry and Value Single Language and Select Geo SKU

Changes were made to the distribution restriction for customer systems distributed to Brazil.

A distribution restriction for customer systems distributed to Brazil were removed for the:

  • Windows 10 Home for Value Notebook Single Language Selected Geos SKUs
  • Windows 10 Home for Value Desktop Single Language Selected Geos SKUs

Distribution restrictions were added for Brazil to the:

  • Windows 10 Home Value in S mode Single Language SKU

A hardware configuration spec change was made to the following SKUs for customer systems distributed to Brazil only. OEMs may distribute customer systems with 4 GB RAM and 64 GB storage for entry SKUs and 4 GB of RAM and 128 GB of storage for value SKUs.

The processor lists have been consolidated to reduce the number of individual list. The processor list letters have been updated to reflect that consolidation.
