Jumpstart Tier 1 and 2 - MDA Updated Eligibility Requirements effective PY2024

This communication explains the eligibility requirement for Tier 1 and Tier 2 programs. This applies to Jumpstart Tier 1, Jumpstart Tier 2 and MDA.

MDA

In addition to the requirements in Section 3.3 (Verifying Investment Program Compliance) of the Core Terms portion of the Agreement, Company is eligible to participate (or continue participating) in MDA only if Company:

(a) Has at least five million ($5,000,000) of annual revenue based on Distribution of genuine eligible Product between January 1, 2023 and December 31, 2023 (Eligibility Revenue), and 

(b) Entered into the Agreement with this MDA Program Letter and accepted the terms by March 31, 2024.

(c) Has met the below performance requirement. This requirement does not apply if Company does not have performance history for the last two semesters.

  • Met or remediated the Quality and Enablement milestones listed in the MDA Program Letter for the last two semesters.

    If Company does not have performance history for the last two semesters, Company will be required to undergo a preliminary MDA audit, to be determined by Microsoft at its sole discretion, and meet the below performance requirements. For avoidance of doubt, Company will not be eligible for MDA discounts until below requirements are met: 

  • Met the Quality and Enablement milestones listed in the MDA Program Letter.

    In addition, Company will be subject to a mid-program year MDA Audit, with the lookback of one semester (From April 2, 2024, through September 30, 2024). For avoidance of doubt, the following requirements must be met in order to continue participating in program year 2024 from October 1, 2024 - March 31, 2025.

  • Met or remediated the Quality and Enablement milestones listed in the MDA Program Letter for the last semester.

For purposes of this section a “genuine eligible Product” means all genuine Windows Pro and Windows Home Products that have a Product Fee greater than $0.00 (examples of Products that do not count include test keys and recovery media). Additionally, the following Products do not count towards the Eligibility Revenue:

  • Any Products Distributed under a Fixed-Fee Royalty Investment Program.
  • Windows Pro (National Academic) (Strategic) SKUs that have a Product Fee of $1.00.
  • Any Product with a Net Product Fee of $0.00
Jumpstart Tier 1

In addition to the requirements in Section 3 (Investment Programs) of the Agreement, Company is eligible to participate (or continue participating) in JST Tier 1 only if Company:

(1) has at least 5 million ($5,000,000) of annual Windows revenue based on Distribution of Customer Systems installed with genuine eligible Product between January 1, 2023 and December 31, 2023 (Eligibility Revenue);

(2) has a valid Partner ID by March 31, 2024;

(3) has entered into the Agreement with this JS Program Letter and accepted the terms through MS Partner Tool by March 31, 2024; 

(4) has met the below performance requirements.

  • 90%+ average compliance in Jumpstart Foundational Audit for the last three quarters

    AND;

  • Met or remediated the Performance Criteria metrics listed in the Device Configuration Document for the last two semesters;

    If Company does not have performance history for the last two semesters, Company will be required to undergo a preliminary Jumpstart Foundational and Device Configuration audit, to be determined by Microsoft at its sole discretion, and meet the below performance requirements. For avoidance of doubt, Company will not be eligible for JS Instant Rebate and Marketing Funds, until below requirements are met:

  • 90%+ compliance in Jumpstart Foundational Audit

    AND;

  • Met the Performance Criteria metrics listed in the Device Configuration Document;

    In addition, Company will be subject to a mid-program year Jumpstart Foundational and Device Configuration Audit, with the lookback of one semester (from April 1, 2024, through September 30, 2024). For avoidance of doubt, the following requirements must be met in order to continue participating in program year 2024 from October 1, 2024 - March 31, 2025.

  • 90%+ average compliance in Jumpstart Foundational Audit for the last two quarters

    AND;

  • Met or remediated the Performance Criteria metrics listed in the Device Configuration Document for the last semester; and

(5) agrees, by submitting this JS Program Letter, to comply with all Device Configuration requirements described in Section 2 B) (Device Configuration) below during the Program Period and acknowledges that participation (or continued participation) in JS is dependent upon meeting all the requirements in this JS Program Letter, including, but not limited to, meeting the eligibility requirements

For purposes of this JS Program Letter, a “genuine eligible Product” means all genuine Windows Pro and Windows Home Products that have a Product Fee greater than $0.00 (examples of Products that do not count include test keys and recovery media). Additionally, the following Products do not count towards the Eligibility Revenue:

  • Any Products Distributed under a Fixed-Fee Royalty Investment Program.
  • Windows Pro (National Academic) (Strategic) SKUs that have a Product Fee of $1.00.
  • Any Product with a Net Zero Product Fee.
Jumpstart Tier 2

In addition to the requirements in Section 3 (Investment Programs) of the Agreement, Company is eligible to participate (or continue participating) in JS Tier 2 only if Company:

(1) has less than 5 million ($5,000,000) of annual Windows revenue based on Distribution of Customer Systems installed with genuine eligible Product between January 1, 2023 and December 31, 2023 (Eligibility Revenue);

OR

Did not meet the JS Tier 1 Program eligibility requirements.

(2) has a valid Partner ID by March 31, 2024;

(3) has entered into the Agreement with this JS Program Letter and accepted the terms through MS Partner Tool by March 31, 2024; and

(4) agrees, by submitting this JS Program Letter, to comply with all Device Configuration Document requirements described in Section 2 B) (Device Configuration Document) below during the Program Period and acknowledges that participation (or continued participation) in JS is dependent upon meeting the requirements in this JS Program Letter.

For purposes of this JS Program Letter, a “genuine eligible Product” means all genuine Windows Pro and Windows Home Products that have a Product Fee greater than $0.00 (examples of Products that do not count include test keys and recovery media). Additionally, the following Products do not count towards the Eligibility Revenue:

  • Any Products Distributed under a Fixed-Fee Royalty Investment Program.
  • Windows Pro (National Academic) (Strategic) SKUs that have a Product Fee of $1.00.
  • Any Product with a Net Zero Product Fee.
MDA

    If Company does not have performance history for the last two semesters, Company will be required to undergo a preliminary MDA audit, to be determined by Microsoft at its sole discretion, and meet the below performance requirements. For avoidance of doubt, Company will not be eligible for MDA discounts until below requirements are met: 

  • Met the Quality and Enablement milestones listed in the MDA Program Letter.

Jumpstart Tier 1

  • Met or remediated the Performance Criteria metrics listed in the Device Configuration Document for the last two semesters;

    If Company does not have performance history for the last two semesters, Company will be required to undergo a preliminary Jumpstart Foundational and Device Configuration audit, to be determined by Microsoft at its sole discretion, and meet the below performance requirements. For avoidance of doubt, Company will not be eligible for JS Instant Rebate and Marketing Funds, until below requirements are met:

  • 90%+ compliance in Jumpstart Foundational Audit

    AND;

  • Met the Performance Criteria metrics listed in the Device Configuration Document;

(5) agrees, by submitting this JS Program Letter, to comply with all Device Configuration requirements described in Section 2 B) (Device Configuration) below during the Program Period and acknowledges that participation (or continued participation) in JS is dependent upon meeting all the requirements in this JS Program Letter, including, but not limited to, meeting the eligibility requirements

For purposes of this JS Program Letter, a “genuine eligible Product” means all genuine Windows Pro and Windows Home Products that have a Product Fee greater than $0.00 (examples of Products that do not count include test keys and recovery media). Additionally, the following Products do not count towards the Eligibility Revenue:

  • Any Products Distributed under a Fixed-Fee Royalty Investment Program.
  • Windows Pro (National Academic) (Strategic) SKUs that have a Product Fee of $1.00.
  • Any Product with a Net Zero Product Fee.
Jumpstart Tier 2

In addition to the requirements in Section 3 (Investment Programs) of the Agreement, Company is eligible to participate (or continue participating) in JS Tier 2 only if Company:

(1) has less than 5 million ($5,000,000) of annual Windows revenue based on Distribution of Customer Systems installed with genuine eligible Product between January 1, 2023 and December 31, 2023 (Eligibility Revenue);

OR

Did not meet the JS Tier 1 Program eligibility requirements.

(2) has a valid Partner ID by March 31, 2024;

(3) has entered into the Agreement with this JS Program Letter and accepted the terms through MS Partner Tool by March 31, 2024; and

(4) agrees, by submitting this JS Program Letter, to comply with all Device Configuration Document requirements described in Section 2 B) (Device Configuration Document) below during the Program Period and acknowledges that participation (or continued participation) in JS is dependent upon meeting the requirements in this JS Program Letter.

For purposes of this JS Program Letter, a “genuine eligible Product” means all genuine Windows Pro and Windows Home Products that have a Product Fee greater than $0.00 (examples of Products that do not count include test keys and recovery media). Additionally, the following Products do not count towards the Eligibility Revenue:

  • Any Products Distributed under a Fixed-Fee Royalty Investment Program.
